Welcome to FLO – Your Compliance in Motion, a web-based compliance management platform owned and operated by VAI PACIFIC CONSULTING PTY LTD (“we”, “us”, “our”).

By accessing or using this website (the “Site”) and any related products or services (collectively, the “Platform”), you agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully before using FLO.

1. Acceptance of Terms

By using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

2. Purpose of FLO

FLO is designed to help users manage compliance tasks and obligations, including but not limited to company filings, tax, permits, licenses, intellectual property renewals, and other business-related compliance matters.

FLO is an organisational and informational tool — it does not provide legal, accounting, or financial advice. For professional advice, users should consult qualified advisors through the “Get Help” or HelpDesk feature or otherwise engage professionals directly.

3. User Accounts

To access certain features, you must create an account. You agree to:

Provide accurate and complete information during registration.
Maintain the confidentiality of your login credentials.
Be responsible for all activities under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or where fraudulent, misleading, or unlawful activity is suspected.

4. Platform Features

The Platform includes, but is not limited to:

Entity Management: Register companies or individuals as “Entities.”
Asset Tracking: Manage compliance categories such as tax, licenses, and filings.
Dashboard: View and track your compliance health score.
Automated Reminders: Receive alerts about due dates and renewals.
Professional Support: Access service providers via “GetHelp.”

We may modify, add, or remove features without prior notice.

5. Subscription and Fees

Access to certain features or tiers may require payment of fees.

Subscription fees are charged according to your selected plan (Starter, Core, Pro, or Enterprise).
All fees are in PNG Kina unless otherwise stated.
Fees are non-refundable except as required by law.

We may revise pricing or introduce new charges upon notice.

6. Intellectual Property

All content, software, design, trademarks, logos, and data on the Platform are owned by or licensed to VAI PACIFIC CONSULTING PTY LTD and protected by intellectual property laws.

Users are granted a limited, non-exclusive, non-transferable licence to use FLO for lawful business purposes only.

You must not copy, modify, distribute, or create derivative works without our prior written consent.

7. User Content

By uploading or submitting information, you grant us a non-exclusive, royalty-free licence to store, display, and process that information for the purpose of providing the FLO service.

You retain ownership of your data at all times.

You are responsible for ensuring that your content:

Is accurate and lawful;
Does not infringe any third-party rights; and
Does not contain viruses or malicious code.

8. Third-Party Links and Services

FLO may link to third-party websites or integrate with third-party tools (e.g., Zapier, Xero, Gravity Forms, Clio).

We are not responsible for the content, accuracy, or availability of these third-party services and do not endorse or assume liability for their use.

9. Disclaimer and Limitation of Liability

FLO is provided on an “as is” and “as available” basis.

We make no warranties or representations about:

The accuracy or completeness of any information on the Platform; or
The uninterrupted or error-free operation of the Platform.

To the fullest extent permitted by law, we disclaim all liability for any loss, damage, or expense arising from:

Reliance on any information or data provided through FLO;
Any delay, interruption, or error in access; or
Any unauthorised access or misuse of your data.

You use the Platform at your own risk.

10. Data Privacy and Security

We collect and process personal information in accordance with our Privacy Policy.

We take reasonable steps to protect user data but cannot guarantee absolute security.

By using FLO, you consent to such data handling.

11. Termination

We may suspend or terminate your access to the Platform at any time if:

You breach these Terms;
Your subscription expires or is unpaid; or
We discontinue the Platform.

Upon termination, your right to use FLO immediately ceases. You may request a copy of your stored data within 14 days.

12. Governing Law

These Terms are governed by the laws of Papua New Guinea, and you agree to submit to the exclusive jurisdiction of its courts.

If you are accessing FLO from outside Papua New Guinea (e.g., Australia), you are responsible for compliance with local laws.

13. Changes to These Terms

We may amend these Terms from time to time. Updates will be effective when published on this website. Continued use of FLO after updates constitutes acceptance of the revised Terms.
